Filing Process FAQ

WHO FILES THEIR DOCUMENTS ON SEDAR?

All Canadian public companies and investment funds are generally required to file their documents in the SEDAR system. In addition, some third parties who are involved in public company transactions such as take-over bids or proxy contests may be required to file.

WHAT DOCUMENTS ARE FILED ON SEDAR?

Most of the documents that are legally required to be filed with the Canadian Securities Administrators and many documents that may be filed with the Canadian exchanges (market centres) are included in the SEDAR system. A complete list of all documents that are included is contained in the SEDAR Filer Manual.

WHAT IS THE PROCESS FOR FIRST-TIME FILERS?

First-time filers must complete and return a SEDAR profile questionnaire to CCNMatthews' filing department, who will, in turn, submit that information on your behalf.

WHAT IS A SEDAR PROFILE?

The SEDAR profile contains basic information about public companies, investment funds and investment fund groups, such as their addresses, contact information, stock exchange listings.

HOW DO CLIENTS UPDATE A FILER PROFILE?

Your company's profile is stored on the SEDAR filing application server and can be accessed by any authorized SEDAR Filing Agent. Advise the CCNMatthews filing specialists of the change(s) and we will submit them to SEDAR on your behalf - the updates to your filer profile will appear on the SEDAR web site the following day.

First-time filers must complete and return a SEDAR profile questionnaire to CCNMatthews filing department, who will, in turn, submit that information on your behalf.

FILING PROCESS: WHAT YOU DO, WHAT WE DO

CCNMatthews' SEDAR filing process is as follows:

1. Client sends the document(s) to be filed with SEDAR to CCNMatthews via email.

2. CCNMatthews filing specialists convert clients' documents to PDF format.

3. If clients request a proof, CCNMatthews will send a copy of the document(s) to be filed back to the client for review and approval.

4. CCNMatthews files document(s) with SEDAR and emails the client with confirmation of filing. (Note: news release filings are only confirmed with the client on their request.)

FILING FORMATS

All documents submitted to SEDAR must be in PDF (Portable Document Format). Clients may send PDF documents to CCNMatthews for filing. Alternatively, our filing experts can convert a variety of document formats (word processing, spreadsheet and desktop publishing files) into PDF.

PDF is best suited for conveying graphic and multimedia-rich document information across multiple platforms, and allows for secure, reliable electronic document distribution and exchange. PDF is the published specification used by standards bodies around the world for more secure, reliable electronic document distribution and exchange. It is the only file format presently accepted by the SEDAR system.

WHAT ABOUT FILING DEADLINES AND LATE FILINGS?

SEDAR's hours of operation are Monday to Friday, 7am to 11pm Eastern, and they are closed on all Canadian statutory holidays. Users of the SEDAR system, therefore, can only submit filings, download profiles, etc. during these hours.

PLEASE NOTE: When filing financial statements to SEDAR; if the deadline date falls on a Saturday, the filing is to be completed on the previous Friday. If the date falls on a Sunday or holiday, the deadline for filing is the following business day.

Clients are responsible for getting their documents to CCNMatthews on time. Please refer to the SEDAR calendar for more information.

Some Canadian securities commissions charge late fees for late filing of documents or late payment of fees. Clients may receive notification from a commission that a fee is owed for a particular project; you may request that CCNMatthews submit the fee on your behalf.

Whenever possible, our clients' documentation will be filed the same day that it is received by CCNMatthews, avoiding any risk to the client for being charged late fees by one or more of the securities commissions.
